The XeroOps Partner Program is operated by Dassore Inc. ("Company", "we", "us"), a corporation federally incorporated in Canada, which owns and makes available the XeroOps product and xeroops.com. This agreement governs your participation as an approved referrer ("Partner", "you") of XeroOps products.
Customer discount: 10% off the $4,950 standard license price — customer pays $4,455.
Partner commission: 10% of the discounted sale price — $445.50 per license sold.
Commission is calculated on the net amount actually received by Dassore Inc. after the discount is applied, excluding any applicable sales taxes or customer refunds.
Commission rates are set at program entry and may be updated with 30 days' written notice to active partners.
You may generate referral codes through your portal. Each code is unique to you and tracked separately. Codes may not be transferred, sold, or assigned to another party without Dassore Inc.'s prior written consent.
Commission is payable on licenses that have been fully paid by the customer and are not subject to a chargeback or refund. Dassore Inc. will contact you to arrange payment once earned commission reaches $100. Payout methods and schedules will be agreed separately and may require standard tax/vendor details.
You agree to represent Dassore Inc. and XeroOps accurately and professionally. You must not make claims or warranties about XeroOps products that exceed what is stated in official documentation, offer unauthorized discounts, or engage in spam, trademark keyword bidding, or deceptive marketing.
Either party may terminate participation with 14 days' written notice. Dassore Inc. may terminate immediately for breach of these terms. Upon termination, existing codes are deactivated and any unpaid commission for completed, undisputed sales remains payable.
You are an independent contractor. These terms do not create an employment, agency, franchise, or joint venture relationship between you and Dassore Inc.
This Agreement shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without reference to conflict of laws principles. The parties irrevocably attorn and submit to the exclusive jurisdiction of the courts of the Province of Ontario sitting in Toronto for any dispute arising out of or in connection with this Agreement.
